These Terms of Service (“Terms”) govern your access to and use of SuperLedger (“SuperLedger,” “we,” “us,” or “our”), including superledgerai.com and the application at app.superledgerai.com (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity that occurs under your account.
2. The Service
SuperLedger provides reporting, white-labeled client portals, ROI analysis, gap detection, monitoring, and alerting for agencies that operate AI tools inside HighLevel. We may add, change, or remove features over time.
3. Subscriptions, Billing, and Trials
- Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law.
- Trials, where offered, may require a payment method and convert to a paid subscription unless cancelled before the trial ends.
- You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with notice for future billing periods.
4. Your Data and Third-Party Integrations
You retain ownership of the data you submit or connect to the Service (“Your Data”). You grant us a limited license to host, process, and use Your Data solely to provide and improve the Service. You represent that you have the rights and consents necessary to provide Your Data, including any data relating to your clients and their end users. Your use of third-party integrations, including HighLevel, is also subject to those third parties' terms.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any law or third-party rights.
- Upload or transmit malicious code, or attempt to gain unauthorized access to the Service or its systems.
- Reverse engineer, resell, or sublicense the Service except as expressly permitted.
- Interfere with or disrupt the integrity or performance of the Service.
6. Intellectual Property
The Service, including its software, design, and content (excluding Your Data), is owned by SuperLedger and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. SuperLedger is not affiliated with or endorsed by HighLevel. We do not warrant that the Service will be uninterrupted, error-free, or that any report or metric will be free of inaccuracies.
8. Limitation of Liability
To the maximum extent permitted by law, SuperLedger and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless SuperLedger from any claims, damages, and expenses arising out of your use of the Service, Your Data, or your violation of these Terms.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends, and we may delete Your Data after a reasonable period.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which SuperLedger operates, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by applicable law.
